Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and [LEGAL ENTITY NAME] d/b/a Gravitas Leads (“Gravitas Leads,” “we,” “us,” or “our”) and govern your access to and use of our websites (including gravitasleads.io and mailer.gravitasleads.io), the Gravitas Leads Mailer Portal, and all related products, data, and services (collectively, the “Services”).

By creating an account, purchasing data, submitting a list for cleaning, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of a company or other entity, you represent that you are authorized to bind that entity, and “you” refers to that entity.

1. The Services

Gravitas Leads is a data-driven performance-marketing company. We provide two primary offerings:

  • 1.1 Data Products. The purchase of marketing records, leads, and related consumer data (“Data Products”) that you license for your own internal marketing use, subject to Section 5.
  • 1.2 List Cleaning & Validation. A service that validates, verifies, and cleans the contact lists you upload (the “Cleaning Services”). The Cleaning Services are performed using our third-party validation partner, EmailOversight, Inc., as described in Section 6.

1.3 Changes to the Services. We may modify, add, suspend, or discontinue any part of the Services at any time, in whole or in part, in our reasonable discretion. We will use commercially reasonable efforts to notify you of material changes that adversely affect a paid feature you are actively using.

2. Eligibility & Accounts

  • 2.1 You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for business use only.
  • 2.2 You must register an account and provide accurate, complete, and current information, including a valid business email address that you verify. Accounts created with a false identity or invalid contact information may be suspended or terminated.
  • 2.3 You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at [CONTACT EMAIL] of any unauthorized use. We are not liable for losses caused by unauthorized use of your account resulting from your failure to keep your credentials secure.

3. Fees, Payment & Refunds

  • 3.1 Pricing. Prices for Data Products and Cleaning Services are shown in the Portal at the time of purchase. Cleaning is priced per record; Data Products are priced per record and may be subject to volume tiers and promotional codes. Prices are subject to change, but a quoted price for a specific order is honored for that order.
  • 3.2 Payment. Payments are processed by our third-party payment processor (Stripe). You authorize us and Stripe to charge your selected payment method for all amounts due. Where applicable, the payment-processing fee may be passed through to you and shown as a separate line item before checkout. You are responsible for all applicable taxes.
  • 3.3 Refunds. Except where required by law or expressly stated at the point of sale, fees are non-refundable once a Data Product has been delivered or a Cleaning job has been processed, because these are data-delivery services rendered upon payment. If a job fails on our side before processing, you will not be charged or will be refunded the affected amount. Refund requests may be submitted to [CONTACT EMAIL] and are evaluated case by case.
  • 3.4 Chargebacks. Initiating a chargeback or payment dispute without first contacting us to resolve the issue may result in suspension or termination of your account.

4. Acceptable Use & Legal Compliance

4.1 You are solely responsible for your use of the Services, the Data Products you license, and the lists you upload, and for compliance with all laws, rules, and regulations applicable to your marketing activities, including without limitation the Telephone Consumer Protection Act (“TCPA”), the CAN-SPAM Act, the Telemarketing Sales Rule and Do-Not-Call (“DNC”) rules, and applicable U.S. state privacy and consumer-protection laws.

4.2 You must obtain any consent legally required before contacting any individual (including prior express written consent where required for marketing calls, texts, or emails), and you must honor opt-out and suppression requests.

4.3 Prohibited uses. You will not, and will not permit others to:

  • use the Services or any data for any unlawful, deceptive, harassing, or fraudulent purpose;
  • use any data to make eligibility decisions about credit, insurance, employment, or housing, or for any purpose covered by the Fair Credit Reporting Act (FCRA) — our data is not a consumer report and may not be used as one;
  • resell, sublicense, rent, lease, or redistribute Data Products, or make them available to any third party, except as expressly permitted in writing;
  • copy, scrape, reverse engineer, or use the Services or data to build a competing product, or to train any artificial intelligence or machine-learning model (including large language models);
  • upload to the Cleaning Services any data you do not have the legal right to process, or that you did not collect through legitimate, opt-in, or otherwise lawful means;
  • introduce malware, attempt to gain unauthorized access to the Services, or interfere with their operation or security.

5. Data Products — License & Restrictions

  • 5.1 License. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Data Products you purchase solely for your own internal marketing purposes.
  • 5.2 Restrictions. The restrictions in Section 4.3 apply to all Data Products. Data Products are licensed, not sold; we and our licensors retain all rights not expressly granted.
  • 5.3 No guarantee of results. Data Products are provided for marketing use. We do not guarantee any particular response rate, deliverability, conversion, revenue, or business outcome.

6. Customer Lists & the Cleaning Services

  • 6.1 Your data, your responsibility. When you upload a list to the Cleaning Services (“Customer Data”), you represent and warrant that the Customer Data was legally obtained, that you have all rights and consents necessary to process it, and that its use does not violate any law, rule, regulation, or third-party right. You should only submit contacts you collected directly through opt-in or other lawful mechanisms related to your business.
  • 6.2 How we process it. We process Customer Data only to provide the Cleaning Services to you — i.e., to validate, verify, and clean your list and return the result. As between you and us, you are the controller of the Customer Data and we act as a processor (service provider) on your behalf. We do not sell your Customer Data and do not use it for our own purposes.
  • 6.3 Sub-processor. The Cleaning Services are performed using EmailOversight, Inc. as a sub-processor, which processes the email addresses in your list solely to perform validation in accordance with documented instructions and applicable privacy law. By using the Cleaning Services you authorize this sub-processing.
  • 6.4 Retention & deletion. We retain Customer Data only as long as necessary to provide the Cleaning Services and deliver your result file, plus a limited period for support and recordkeeping, after which it is deleted or de-identified. You may request deletion of your uploaded data and result files at [CONTACT EMAIL].
  • 6.5 No guarantee of accuracy. Email validation and list cleaning are probabilistic and based on data and signals available at the time of processing. We and our partner do not warrant that validation results are error-free or that a cleaned list will be free of undeliverable, invalid, or unsafe addresses, and we are not responsible for false positives or false negatives. You remain responsible for your sending practices and reputation.

7. Intellectual Property

The Services, including all software, content, designs, and trademarks (excluding your Customer Data and Data Products you license), are owned by Gravitas Leads or its licensors and are protected by intellectual-property laws. We grant you no rights except as expressly stated in these Terms. You retain ownership of your Customer Data.

8. Third-Party Services

The Services rely on third parties, including Stripe (payments), EmailOversight (validation), and our cloud and email providers. Your use of those features may be subject to the third parties’ own terms, and we are not responsible for third-party services or their acts or omissions.

9. Disclaimer of Warranties

THE SERVICES, DATA PRODUCTS, AND CLEANING RESULTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, DELIVERABILITY, OR RESULTS OF ANY DATA OR VALIDATION. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAVITAS LEADS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You will indemnify, defend, and hold harmless Gravitas Leads and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services or any Data Products; (b) your Customer Data or your collection, processing, or use of it; (c) your marketing activities; or (d) your breach of these Terms or violation of any law or third-party right.

12. Term, Suspension & Termination

These Terms apply while you use the Services. We may suspend or terminate your access at any time for violation of these Terms, non-payment, suspected fraud or illegal activity, or to comply with law. You may stop using the Services at any time. Sections that by their nature should survive termination (including Sections 4–11 and 13–14) will survive.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state and federal courts located in [COUNTY, STATE], and you consent to their jurisdiction. 15. Miscellaneous

These Terms, together with the Privacy Policy and any order or service-specific terms, are the entire agreement between you and us regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
